TERMS & CONDITIONS OF SUPPLY – Testron Group

All orders are accepted with the understanding that they are subject to the terms and conditions of sale as outlined in our acknowledgement forms. Please note that these terms and conditions are provided below for your reference. Should any errors or omissions be identified, we kindly ask to be notified immediately. It should be noted that we are not liable for typographical errors in our publications or clerical errors in quotation preparation and reserve the right to correct such errors.

PRICES
The prices listed in this order do not include any sales, duties, excise, or similar taxes imposed by federal, state, city, or local governments. These taxes will be added to the total bill and must be paid by the buyer. The prices listed in this acknowledgment reflect the seller’s current prices. Any shipments will be invoiced at the seller’s prices at the time of shipment. These prices are subject to the standard terms of TESTRON. The discounts and no charge Items listed are based on the standard terms of payment specified in the wire transfer quote. However, TESTRON reserves the right to adjust or remove discounts if the customer requests alternate payment terms when placing their purchase order against a valid quote. Any necessary corrections will be made with a corresponding order acknowledgement by TESTRON. All the transactions
charges must be strictly billed to the buyer account.

PRODUCTS
The quotation does not include any additional tests or calibrations apart from those specifically outlined. TESTRON reserves the right to make changes in design and manufacturing without obligation to implement these changes on units manufactured for or delivered to the buyer prior to such design changes. By placing a purchase order, the buyer agrees that all proprietary information and related documentation provided by TESTRON is for their use only, and they agree not to distribute this information to others without written authorization from TESTRON.

PAYMENTS
Advance payments are required on an immediate basis, and it is expected that payments will be made within one week via TT/Wire Transfer. Any late payments will result in a delay in the delivery time, and the order will be placed on hold until the payment has been cleared. The lead time for orders will start from the date the payment is received, plus a few days for order processing. In the event of late payments, administrative fees, interest, and other fees may be imposed. The specific fees charged will depend on the account, so it is recommended to discuss any fees with the finance department. For accounts that are over 30 days overdue, fees charged will be 1.5% per month, with a minimum service charge of $10.00 per month for overdue accounts.

STORAGE CHARGES
Shipments are to be picked up within 7 working days of shipment readiness notification: Failure to pick them up incurs a $100 per day charge from the 8th day after shipment readiness notification is given if not picked up.

OWNERSHIP
Ownership of the goods covered by this contract is transferred to the buyer only after full payment of the amount due to TESTRON including interest payable and/or penalties. Otherwise, the buyer commits to immediately returning to TESTRON any goods delivered in response to a simple written request from TESTRON.

ON SITE SERVICE CONTRACTS

TESTON will provide onsite service support such as installation, training, after sales service etc., that can be purchased at additional cost along with the equipment. These service contracts are tailored to meet the specific requirements of the machinery.

ONLINE SERVICE SUPPORT
TESTRON provides online support free of charge based on the customer’s request.

WARRANTY
TESTRON guarantees the products manufactured by it for twelve months from the date of delivery to the buyer. This warranty covers only defects in material and workmanship and is limited only to free replacement or repair by TESTRON of the defective parts for ascertained defects in material or workmanship. The buyer is responsible for all costs of disassembly, reassembly and shipping. The warranty excludes any breakdown caused by misuse or poor maintenance. The warranty is also void in the case of use of non-original parts or those not supplied by TESTRON. The warranty excludes all parts subject to normal wear and tear, any damage resulting from carelessness and negligence by the buyer, improper use and/or use in an unsuitable environment.

FORCE MAJEURE
TESTRON cannot be held responsible for loss, damage, holding, delay, impossibility to deliver goods or for potential non fulfilment of supply resulting from facts that are unforeseen, inevitable, out of the firm’s control (included, for example but not only: fires, strikes, insurgencies, uprisings, embargo, lack of transport, shipwrecking, transport delays, impossibility or difficulties in obtaining supplies and/or raw materials even if deriving from local, national, international measures, epidemics and pandemics).

INTELLECTUAL PROPERTY
All drawings or technical documents given to the buyer remain the property of TESTRON and can never be disclosed to third parties except with the explicit written consent of TESTRON. The buyer is still required to observe strict confidentiality regarding all information of a technical nature (such as but not limited to drawings, reports, documentation, formulas and correspondence) received from TESTRON.

Safe Use of Instruments:
